The Constitution of the Southern Hockey League 2007-08
ARTICLE THREE - BOARD OF DIRECTORS
A Board of Directors, which may consist of a President, Vice-President, Secretary -Treasurer, League Advisor, Director of Operations, Statistician, Media Relations Officer, and two representatives from each member team, shall manage the SHL.
All meetings of the Board of Directors shall be presided over by the President or the Vice President in his absence.
The Board of Directors shall meet as many times as, in the opinion of the President is necessary. There shall be an annual general meeting of the Board of Directors at least once a year and as well the Board of Directors shall meet at the beginning of each season, prior to the mid-season draft, and immediately prior to the commencement of the playoffs, and following the post-season. Conference call can constitute an official meeting.
The President, Vice-President, Secretary -Treasurer, League Advisor, Director of Operations, Statistician, Media Relations Officer (collectively known as “the Officers”), shall be elected yearly to hold office until the next annual general meeting, or until their successors have been duly elected. The Officers shall be elected at each annual general meeting and all the Officers then if office shall retire, but if qualified, are eligible for re-election. The election shall be decided by a unanimous vote of the members. In the event of a vacancy, a meeting of the Board of Directors shall be convened for the purposes of filling the vacancy.
The members may cause a meeting of the Board of Directors to be convened for the purposes of removing any Officer from office before the expiration of his term of office, and may by a majority vote cast at that meeting elect any person in his stead for the remainder of his term.
3-6 The Officers or any one or more of the Officers shall be paid such remuneration as may be determined by the Board of Directors. The Officers shall be paid such sums in respect of their out-of-pocket expenses incurred in respect of the performance of them of their duties as the Board of Directors may from time to time determine.
