ARTICLE FIVE – INDEMNITY OF OFFICERS

5-1 The members shall indemnify the Officers or former Officers and his heirs and legal representatives against all costs, charges and expenses including any amount paid to settle an action or satisfy a judgement reasonably incurred by him in respect of any civil, criminal or administrative action or proceeding to which he has been made a party by reason of being of having been an Officer if:

he acted honestly and in good faith with a view to the best interest of the SHL; and in the case of a criminal or administrative action or proceeding that is enforced by a monetary penalty, he had reasonable grounds for believing that his conduct was lawful.

The members shall also indemnify such Officers who have been substantially successful in the defense of any civil, criminal or administrative action or proceeding to which he is made a party by reason of having been an Officer against all costs, charges and expenses reasonably incurred by him in respect of such action or proceeding; if such Officer is fairly and reasonably entitled to such indemnity.

ARTICLE SIX – INSURANCE FOR OFFICERS

The Board of Directors may purchase and maintain insurance for their benefit of any Officer against liabilities, costs, charges and expenses sustained or incurred by such Officer for failure to exercise the care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances.

ARTICLE SEVEN – TEAMS AND NEW MEMBER TEAMS

New member teams will be permitted by a majority vote of current member teams.

In order to remain in good standing, teams must remain financially current with the SHL, the NBHOA and HNB. All sums of money, including but not limited to fines, levies, performance bonds, and fees must be paid when due. Teams not honouring financial responsibilities may be subject to sanctions, as may be determined by the President, the Board of Directors or HNB.

7-3 All member teams must register in the same HNB division and category in a given season.

7-4 Each member team has a duty to defend actions for bodily injury and/or property damage that may arise from the use and operation of any facility by the member team or its members and each member team agrees to hold harmless the Officers of the league from any and all liability that may result from the use of the facility by that member team or its individual members.
